法理

法理，是形成国家内全部法律或单一部门法律的基本精神和学理。由于社会现象错综复杂、千变万化，法律难以充分地规定所有的社会现象，而需法理补充法律及习惯法上的不备，能作为法的渊源。部分国家则将法理作为民法最后适用的法源，适用顺序依序为：法律优先适用，法律未规定者再依习惯法，无习惯法时则依赖法理[1]。在民法意义上，法理代表多数人所承认之共同生活的原则，如正义、诚信及平衡等自然法中的根本原理。[2]
